Utopia Agency provides digital marketing, web development, AI automation, SEO, GEO optimization, performance marketing, mobile app development, e-commerce, brand design, and custom software development services. Specific deliverables, timelines, and terms are defined in individual project agreements or statements of work (SOWs).

3. Intellectual Property

All content on this website, including text, graphics, logos, icons, images, and software, is the property of Utopia Agency or its content suppliers and is protected by United States and international copyright laws. Upon full payment, clients receive ownership of deliverables as specified in their project agreement.

4. Client Responsibilities

Clients agree to:

• Provide accurate and timely information, content, and feedback necessary for project completion
• Review and approve deliverables within agreed-upon timelines
• Make payments according to the schedule outlined in the project agreement
• Ensure they have the rights to any materials provided to Utopia Agency for use in projects

5. Payment Terms

Payment terms are defined in individual project agreements. Unless otherwise specified, invoices are due within 15 days of receipt. Late payments may incur a fee of 1.5% per month on the outstanding balance.

6. Limitation of Liability

Utopia Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to the use of our website or services, regardless of the theory of liability.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project engagement. This obligation survives the termination of any agreement.

8. Termination

Either party may terminate a project engagement with 30 days written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date. Any deposits paid are non-refundable unless otherwise stated in the project agreement.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

10. Changes to Terms

Utopia Agency reserves the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services constitutes acceptance of the modified terms.
